By accessing our website or engaging our services, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of our website constitutes acceptance of these Terms. For programme engagements, a separate engagement letter will be issued and must be agreed before services commence.

Services are delivered primarily in Singapore. Availability is subject to team capacity. We reserve the right to modify, suspend, or discontinue any service with reasonable notice.

5. Intellectual Property

All methodologies, frameworks, tools, templates, and programme materials produced by Jalan Axis remain the intellectual property of Jalan Axis. Upon full payment, clients are granted a non-exclusive, non-transferable licence to use deliverables produced specifically for their engagement for internal business purposes only. This licence does not extend to resale, sublicensing, or redistribution to third parties.

6. Payment Terms

Programme fees are quoted in Singapore Dollars (SGD). Unless otherwise agreed in the engagement letter:

Refunds for programme cancellations are handled on a case-by-case basis, accounting for work completed to date. Cancellations made within 5 business days of programme commencement may not be eligible for a deposit refund.

7. Service-Specific Terms

Pathway Planning: Deliverables are based on information provided by the client during the engagement. Jalan Axis is not liable for outcomes arising from implementation of the pathway document beyond the scope of the planning engagement itself.

Guided AI Skills Journey: Waypoint completion is tracked by Jalan Axis. Participants who miss more than two waypoints without prior arrangement may be required to reschedule to a subsequent cohort.

Phased Deployment Programme: Advancement between phases requires formal sign-off from both Jalan Axis and the client's nominated engagement lead. Phase timelines are estimates and may extend where organisational readiness requires additional time.

8. Disclaimers

Services are provided in good faith based on information available at the time of engagement. Jalan Axis does not warrant that engagement outcomes will result in specific business results, cost savings, or operational improvements. AI adoption involves organisational, technical, and market factors outside Jalan Axis's control. Nothing in these Terms constitutes financial, legal, or regulatory advice.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, Jalan Axis's liability for any claim arising from an engagement is limited to the total fees paid for that engagement. Jalan Axis is not liable for indirect, consequential, or punitive damages. Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

10. Indemnification

The client agrees to indemnify and hold Jalan Axis harmless from any claims, losses, or liabilities arising from the client's misuse of deliverables, provision of inaccurate information, or breach of these Terms.

11. Termination

Either party may terminate an engagement by providing written notice to the other. In the event of termination, the client is responsible for fees corresponding to work completed to the date of termination. Jalan Axis reserves the right to terminate an engagement immediately if the client materially breaches these Terms.

12. Dispute Resolution

These Terms are governed by the laws of Singapore. In the event of a dispute, the parties agree to first attempt resolution through good faith negotiation. If unresolved within 30 days, the dispute shall be referred to mediation under the Singapore Mediation Centre. Legal proceedings, if necessary, shall be conducted in the courts of Singapore.

13. General Provisions

These Terms, together with any signed engagement letter, constitute the entire agreement between the parties in relation to the services. If any provision is found to be unenforceable, the remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver. These Terms may not be assigned by the client without prior written consent from Jalan Axis.

14. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. For active engagements, any material changes will be communicated in writing. Continued use of our website after changes constitutes acceptance.
